Fees and Payment
You agree to pay the fees set out in your chosen subscription plan. Fees are payable in accordance with our billing terms and are exclusive of VAT unless stated otherwise. Additional usage-based charges may apply, such as SMS credits. Failure to pay fees when due may result in suspension or termination of the Service.
Term and Termination
Subscriptions renew automatically unless cancelled prior to renewal. Either party may terminate the agreement if the other commits a material breach. Upon termination, your access to the Service will cease and we may delete or anonymise your data. You remain liable for any outstanding fees.
Intellectual Property
All intellectual property rights in the Service, including software and content, remain owned by us or our licensors. You retain ownership of your own data, which we process only to provide the Service.
Liability
The Service is provided “as is” and without warranties, except as required by law. Our total liability for any claim is limited to the total fees paid by you in the twelve months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, including lost profits or loss of data. Nothing in these Terms limits our liability for fraud, gross negligence, or personal injury caused by our negligence.
Indemnity
You agree to indemnify us against any claims, damages, or expenses arising from your misuse of the Service, your breach of these Terms, or your unlawful use of your customers’ personal data.
Confidentiality
Both parties agree to keep confidential any information designated as confidential and to use it only for the purpose of providing or receiving the Service.
Changes to the Terms
We may update these Terms from time to time. Continued use of the Service after changes have been published constitutes your acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
